The Context Shine is an established international, multi-entity group. With the recent integration of the SB/CPA (Small Business / Certified Public Accountant) scope from Cegid, our operational footprint and corporate complexity have expanded significantly across several European countries.
As a regulated banking entity, we are seeking a Head of Litigation, Corporate & Insurance to handle these matters transversally for the entire group. Based in Madrid, you will be in charge of the corporate restructuring, legal defense, and insurance frameworks across all our operating jurisdictions.
The Mission Operating as a strategic yet highly hands-on individual contributor, you will drive transversal corporate structuring, orchestrate our litigation strategy in a regulated environment, and manage our global insurance framework for the whole group. To sustain our scale and operational volume, you are also mandated to proactively drive the automation and industrialization of our legal processes. You will rely on external counsel, our central Paralegal, and automated workflows to execute this international mandate.
Transversal Corporate Structuring
Cross-Border Execution: Lead the corporate structuring resulting from the Cegid SB/CPA integration. You will orchestrate mergers, entity closures, TUPs (Transmission Universelle de Patrimoine), and winding-up processes across all international markets.
Global Governance: Oversee the corporate lifecycle for the Group’s parent company and its foreign subsidiaries, delegating administrative execution and formalities to our central Paralegal.
Intra-Group Architecture: Draft and negotiate the flows, transfer pricing mechanisms, and SLAs between the various entities of the group.
Group Litigation Defense & Preventive Law
Pre-Litigation & Dispute Management: Manage the end-to-end pre-litigation and litigation strategy for the entire group. This scope is strictly focused on commercial disputes (clients and partners), banking liability, and fraud recovery. (Note: HR and IP litigations are out of scope).
Financial Provisioning: Liaise closely with the Finance department to continuously assess legal risks, accurately forecast potential liabilities, and ensure proper financial provisioning for all ongoing disputes.
External Counsel Management: Select, brief, and challenge external law firms internationally to ensure a robust, strategic defense and strict budget control.
Preventive Strategy: Continuously adapt our Terms of Service (ToS) and Legal Notices based on legal outcomes. Partner with Tech to hardwire "Case Building" capabilities (automated evidence and audit logs) directly into our products.
Group Insurance Oversight
Framework Definition: Build the master framework for the Group's insurance portfolio (Cyber, Fraud, Professional Indemnity, D&O) for all countries.
Broker Management: Daily market negotiations are outsourced to our broker. Your role is to monitor their performance, ensure our master framework is strictly enforced, and act as the escalation point for major claims.
Legal Operations & Automation
Process Engineering: Proactively identify bottlenecks in our corporate and litigation workflows. Build and implement lean, scalable legal processes that maximize output and minimize manual tasks.
Tooling & Automation: Deploy and optimize legal tech tools (e.g., entity management platforms, automated litigation dashboards, ticketing systems)to ensure the function operates at maximum efficiency.
Senior expert with at least 8 years of experience as corporate law and complex commercial litigation (Years of experience acts as a guide but it's not a decision maker)
You must possess a Law Degree in Spanish Law or have highly significant professional experience practicing Spanish corporate and litigation law.
Legal Qualification (Mandatory): You must be a former lawyer (Abogado, CAPA, or equivalent).
Language & Location Matrix: You must be based in our Madrid office. Fluent in English and Spanish (French is a strong plus).
Industry: Proven experience within a regulated environment (Banking, Fintech, Insurance) is crucial.
Mindset: Transversal Operator: You easily coordinate complex legal issues across multiple countries. Hands-on Strategist: You are capable of defining the big picture while getting your hands dirty in the execution. You know how to leverage paralegals and external law firms efficiently.
Automator: You hate doing the same manual task twice. You default to building automated systems and scalable processes to handle high volumes of work.
